Service Agreement

Service Agreement

Parties
This Service Agreement is between Montalvo Cleaning LLC (the “Contractor”) and the client named on the quote or statement of work (the “Client”).

Scope of Services
We provide commercial office cleaning programs for small to mid-size suites. The specific locations, tasks, frequencies, and any add-on services are defined in the Statement of Work (SOW) attached to your quote.

Service Schedule

  • Recurring programs are typically after-hours on weekdays. Day porter coverage and limited weekends are available by request.

  • Holiday schedules and closures are listed below.

  • Start dates depend on site walk scheduling, access readiness, and onboarding.

Switcher Program - Offers and Guarantees
Available on eligible recurring office cleaning programs within our service area and target suite size. See Cancellation Policy for details.

  • Switch & Save 10% on your current contract - new 6-month term, apples-to-apples scope, price floor applies.

  • 90-Day Performance Guarantee - if we miss agreed KPIs twice in the first 90 days, you may cancel with no penalty and we will comp the final week.

  • First-Month Upgrade - one premium add-on in month 1 within published caps.

  • No-Risk Pilot Clean - credited on signing a recurring program within 14 days.

Quality Assurance and Issue Resolution

  • We use checklists and periodic inspections.

  • If something is missed, tell us by 10:00 AM the next business day and we will reclean within 24 hours.

  • KPIs and inspection cadence are defined in the SOW.

Access, Keys, and Badges

  • Client provides safe building access and any required orientation.

  • We track keys and badges by number only - never by address. Chain-of-custody logs are maintained.

  • Lost key or rekey costs caused by us will be reimbursed up to the actual replacement cost.

Supplies and Equipment

  • We provide professional cleaning equipment and chemicals.

  • Restroom and kitchen consumables are Client-supplied unless a Supply Management add-on is included in the SOW.

Health and Safety

  • We follow OSHA-aligned practices.

  • Excluded: biohazard cleanup, mold remediation, hazardous waste, post-disaster restoration, exterior window cleaning above the first reachable level, pest control, landscaping, snow removal.

Staffing, Background Checks, and Supervision

  • Field employees complete a background check before site assignment.

  • Supervisors are bilingual English - Spanish.

  • Upon Client request, we can propose periodic re-screening with cadence and cost in the SOW.

  • We may use qualified subcontractors. We remain responsible for their work.

Confidentiality and NDA

  • We keep client information confidential. A mutual NDA is available upon request.

Insurance
We maintain industry-standard coverage and will provide a COI on request: General Liability $1M per occurrence - $2M aggregate, Umbrella $1M - $3M, WA Workers’ Compensation, Employer’s Liability $1M, Commercial Auto $1M CSL and Hired - Non-Owned Auto, Employee Dishonesty - Crime $500k.

Pricing, Invoicing, and Payment

  • Recurring programs: invoiced monthly in arrears. Net 30 days.

  • One-time services: invoiced at completion. Net 15 days. A deposit may be required.

  • Late payments may incur 1.5% per month or the maximum allowed by law.

  • Pricing assumes the scope and site conditions in the SOW. We may propose adjustments for scope changes, wage or ordinance changes, parking fees, access constraints, or unusual soil levels. Any change requires written approval.

Minimum Term and Renewal

  • Recurring programs have a 6-month minimum term. After the minimum term, the Agreement renews month-to-month unless either party gives written notice per the Cancellation Policy.

Client Responsibilities

  • Provide safe access and notify us of security requirements, alarms, and building rules.

  • Remove sensitive materials from surfaces to be cleaned or provide instructions.

  • Communicate issues promptly so we can reclean within 24 hours if needed.

Non-Solicitation
For 12 months after the last day a Montalvo team member works at your site, Client will not directly hire or contract that person outside of Montalvo. Ask us first - we are happy to discuss conversion pathways.

Holidays
No standard service on: Thanksgiving Day, Christmas Day. Services can be added - moved by mutual agreement.

Data and Privacy
We collect only what we need to schedule, deliver, and bill services. We do not sell your data.

Limitation of Liability
Neither party is liable for indirect, incidental, special, or consequential damages. Our aggregate liability for claims arising from this Agreement will not exceed three months of fees paid by Client for the affected location, except for amounts recoverable under our insurance.

Force Majeure
Neither party is liable for delays caused by events beyond reasonable control. Work resumes as soon as practical.

Independent Contractor
We are an independent contractor - not Client’s employee or agent.

Disputes
Start with operations escalation. If unresolved, the parties agree to non-binding mediation in King County, Washington before litigation.

Governing Law
State of Washington.

Changes
We may update these terms with notice. Material changes will not apply to an active SOW without mutual written consent.

Acceptance
Your signature or e-signature on the quote - SOW or first scheduled service confirms acceptance of this Agreement and the Cancellation Policy.
